Terms of Service
Terms governing use of the PrecisionDocs website and AI due diligence platform.
These Terms of Service ("Terms") govern your access to and use of the PrecisionDocs platform, operated by PrecisionDocs AI LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Using PrecisionDocs
The Service evolves as we improve its features, capabilities, and data sources:
- Features, capabilities, and data sources may change, be added, or be removed without advance notice.
- The platform is provided on an "as-is" and "as-available" basis without service level guarantees.
- Access limits are configured per organization as described below.
- We will notify you of material changes to these Terms as described in Section 16.
2. Description of Service
PrecisionDocs is an AI-powered research platform for land development and civil engineering teams. The Service provides automated lookups of government data (flood zones, soil surveys, elevation, seismic hazards, wetlands, parcel boundaries), municipal ordinance research, document analysis, and report generation through a conversational AI interface.
Important: PrecisionDocs is a research aid, not a substitute for licensed professional judgment. The Service does not provide certified engineering opinions, licensed professional services, or official government records. All data, analysis, and reports generated by the platform must be independently verified by a qualified professional before use in professional practice, regulatory submissions, or decision-making.
3. Account Registration and Security
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
Third-party integrations and API connectors: If you connect PrecisionDocs to ChatGPT, Claude Desktop, Cursor, Gemini CLI, or other third-party tools, you are responsible for configuring and securing those tools according to your own security practices, including protecting API keys, limiting who can invoke connected tools, and avoiding public exposure of endpoints or credentials. Requests made through your API keys, connector configuration, or exposed endpoints may consume credits or incur charges on your organization's account. We are not responsible for usage, charges, disclosures, or actions caused by your configuration of third-party tools, exposed endpoints, shared GPTs, or compromised credentials, except to the extent caused by our breach of these Terms or failure to secure the Service.
We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or pose a security risk.
4. Pricing and Access
Access and pricing are configured per organization. A free workspace includes one project and a fixed allowance of agent questions driven by public parcel records; purchased credits unlock the full platform for every seat provisioned.
All payments are processed securely by Stripe, Inc. We do not store or have access to your payment card details.
Refund Policy: Fees, if applicable, are non-refundable except where required by law. If you experience a technical issue that prevents you from using the Service, contact us at info@precisiondocs.ai and we will work to resolve the issue.
Credits. Paid credits are a prepaid balance used to create projects and access platform features, shared across your organization. Credits do not expire while your account remains in good standing. Credits are not currency, have no cash value, and are non-refundable except where required by law.
Auto-refill. After your first credit purchase, threshold auto-refill is enabled by default: when your workspace balance drops below the configured threshold, we charge your saved payment method for your selected refill package. You may disable auto-refill or change the refill package anytime in Account → Billing. Auto-refill charges are separate one-time purchases, not recurring subscriptions.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
- Interfere with or disrupt the Service, servers, or networks connected to the Service.
- Use automated tools (bots, scrapers) to access the Service beyond the provided interface.
- Upload malicious content, viruses, or harmful code.
- Misrepresent AI-generated outputs as certified professional work product without proper review and verification by a licensed professional.
- Resell, redistribute, or sublicense access to the Service without our written consent.
- Attempt to reverse-engineer, decompile, or extract the source code, algorithms, models, or proprietary methods of the Service.
- Use the Service to build a competing product or to benchmark the Service for competitive purposes.
- Copy, replicate, or create derivative works of the Service's user interface, workflows, agent design, chat experience, prompts, or overall "look and feel," whether by screenshot, observation, automated capture, or manual recreation, for the purpose of building or assisting in building any product or service that competes with the Service.
- Disclose non-public features or internal behavior of the Service to third parties or in public forums without our prior written consent.
6. AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate responses, analyze documents, and produce reports. You acknowledge and agree that:
- AI-generated content may contain errors, inaccuracies, or omissions.
- AI outputs are research aids and must be independently verified by a qualified professional before use in any professional, regulatory, or commercial context.
- Government data retrieved through the Service comes from public APIs and may not reflect the most current records.
- Reports generated by the Service do not constitute professional engineering opinions, certifications, or official determinations.
- You are solely responsible for verifying all data, analysis, and conclusions before relying on them.
- AI capabilities evolve and outputs may vary in quality and completeness.
7. Intellectual Property
Your content: You retain all rights to the data, documents, and content you upload to the Service. By using the Service, you grant us a limited, non-exclusive license to process your content to provide the Service to you, including storing project content, parsing and indexing documents, generating reports, maintaining project context, and transmitting selected prompts, project context, and retrieved excerpts to AI model providers for processing. If organization data sharing is enabled, you also grant us permission to retain direct-upload documents and related metadata in a private, access-controlled internal archive and use them to develop, evaluate, and improve our own AI models and document-processing systems. Data sharing is off by default for new organizations unless an authorized user expressly enables it. Disabling data sharing stops new additions to the internal model-improvement archive. We do not sell your content or grant third-party AI providers the right to train their own models on it.
License to use: Subject to your compliance with these Terms, PrecisionDocs AI LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes during the term of your account. This license is the entirety of the rights you receive; no other rights, express or implied, are granted by these Terms or by your use of the Service.
Our platform: The PrecisionDocs platform, including its design, code, features, methodologies, and branding, is owned by PrecisionDocs AI LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, proprietary methods, or other intellectual property.
Trade secrets: You acknowledge that the Service's source code, machine-learning models and prompts, agent orchestration logic, retrieval and ranking methods, document-parsing pipelines, ordinance-scraping methodology, multi-agent report pipeline, scheduling algorithms, and related processes constitute trade secrets and confidential proprietary information of PrecisionDocs AI LLC. You agree to use commercially reasonable efforts to protect this information from unauthorized disclosure or use.
Generated reports: Reports generated by the Service are derived from your project data and AI processing. You may use generated reports for your professional purposes. We do not claim ownership of report content generated from your data.
Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us to improve the platform without obligation to you.
Injunctive relief: You acknowledge that any breach of Sections 5, 7, or 8 would cause irreparable harm for which monetary damages would be inadequate. Accordingly, we may seek injunctive or other equitable relief in any court of competent jurisdiction, without the requirement of posting bond, in addition to any other remedies available at law or in equity.
8. Confidentiality and Data Protection
Your data: We treat your uploaded documents, project data, and chat content as confidential and never sell it. We access your project content to operate the Service, to respond to your support requests, and, if organization data sharing is enabled, to retain direct-upload documents for improving our AI models as described in our Privacy Policy.
Model improvement controls: If organization data sharing is enabled, we may retain direct-upload documents and related metadata in a private, access-controlled internal archive and use them to develop, evaluate, and improve our own AI models and document-processing systems. Data sharing is off by default for new organizations unless an authorized user expressly enables it during signup or an owner enables it later in Account -> Organization -> Data sharing. Disabling data sharing stops new additions to the internal model-improvement archive. We do not sell your content, and we do not let third-party providers train their models on it.
Isolation: Your project data is isolated from other customers at the database level. Team members you invite to a project can see that project's content; no other customer can. Documents retained for model improvement, when organization data sharing is enabled, are held in a separate, access-controlled internal archive used only by PrecisionDocs and are not exposed to other customers.
Deletion: Project owners can immediately and permanently delete one project or select up to 25 owned projects for sequential deletion. Deletion cascades through live operational data including uploads, chat history, memory, and project search indexes. Under the automatic retention lifecycle, active organizations receive an owner warning after 90 days without project activity and deletion is scheduled no earlier than 120 days without activity. Inactive organizations, including expired evaluations or services, receive a warning after 30 days without project activity and deletion is scheduled no earlier than 60 days without activity. A successful warning provides at least 30 days' notice. Activity by any project collaborator resets the inactivity clock. Approved retention exemptions are available by contacting support. Copies already retained in our separate model-improvement archive, or improvements already derived from them, may persist; we will delete archived copies on request where technically feasible. Pre-release information: If you are given access to pre-release features, you may observe designs, workflows, methodologies, performance characteristics, and other non-public information about the Service ("Pre-Release Information"). You agree to: (a) treat Pre-Release Information as confidential; (b) not disclose Pre-Release Information to any third party without our prior written consent, except to your employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as these Terms; and (c) not use Pre-Release Information for any purpose other than evaluating and using the Service in accordance with these Terms. These obligations survive termination of your account for three (3) years.
9. Privacy and Data Handling
Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
In the event of a data breach affecting your information, we will notify you within 72 hours of confirmation as described in our Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by applicable law, PrecisionDocs AI LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or project delays, arising out of or related to your use of the Service.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
Engineering disclaimer: We are not liable for any decisions, actions, or outcomes resulting from reliance on AI-generated content, data lookups, or reports produced by the Service. You assume all risk associated with using the Service's outputs in professional practice, regulatory submissions, or business decisions.
Warranty disclaimer: The Service is provided without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
11. Indemnification
You agree to indemnify and hold harmless PrecisionDocs AI LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Service Availability
We strive to maintain reasonable availability but do not guarantee uninterrupted access. We may:
- Perform maintenance with or without advance notice.
- Modify, add, or remove features as the platform evolves.
- Temporarily suspend access to address security or stability issues.
We will make reasonable efforts to notify you of material changes that affect your active projects.
13. Termination
Your termination: You may stop using the Service and delete your account at any time.
Our termination: We may suspend or terminate your access — and delete your account and forfeit any remaining credit balance without refund — if we determine in good faith that you have violated these Terms (including Section 5, Acceptable Use) or otherwise misused the Service. We may also suspend or terminate your access for any other reason with reasonable notice.
If you choose to stop using the Service, you may export your data and delete your account. Account and project data are handled according to our data retention policy.
Inactive projects may be permanently deleted after notice according to the lifecycle schedule in our Privacy Policy. We will email organization owners about a material policy change before enforcing a shorter retention schedule.
14. Dispute Resolution
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Cook County, Illinois.
15. Accessibility
PrecisionDocs is committed to digital accessibility. We strive to conform to WCAG 2.1 Level AA. For details, see our Accessibility Statement.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email and by posting updated Terms with a revised date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
17. Survival
The following provisions survive termination of your account or these Terms for any reason: Section 5 (Acceptable Use), Section 6 (AI-Generated Content Disclaimer), Section 7 (Intellectual Property), Section 8 (Confidentiality and Data Protection), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 13 (Termination, including credit forfeiture on misuse), Section 14 (Dispute Resolution), and this Section 17.
